Greenland's Screening Bill Could Reach Mineral Supply Contracts
Greenland's screening bill could require approval for mineral supply contracts that confer control, even when the buyer comes from an allied country.

Greenland's proposed investment-screening law could put a mineral buyer through an approval process without the buyer purchasing shares in a mine. The relevant question would be what authority its contracts confer. The bill's explanatory notes on contractual control expressly discuss long-term loans and delivery agreements, while requiring real managerial decision-making power rather than merely some influence.
A U.S. buyer may seek a say in production to protect the supply it is paying to secure. For counsel reviewing that commitment, the same rights raise a question about investment approval. Those rights belong in the supply-contract approval memo alongside the ownership chart. An American buyer would not receive a general exemption under the .
The bill remains pending. The government's October 12 presentation note says the screening authority has not been established. The parliamentary agenda for EM2026/214 schedules the first reading for November 10, with later readings in spring 2027. This is a question for contract planning, not an instruction to file an application today.
Allied status would not settle the proposed filing test
The September 22 agreement between the United States, Denmark and Greenland addresses a narrower group. Article X restricts specified control, significant influence and potentially threatening access to non-public information by states or investors outside NATO membership, NATO partnership and EU membership. Resource extraction is expressly within its sensitive-sector definition. An exception depends on agreement between the parties that the activities would not threaten national security or public order. White House, agreement Articles III and X.
The pending domestic bill uses a broader investor definition. It includes legal persons domiciled outside Greenland and their Greenlandic subsidiaries or branches. Section 4 would require advance permission for covered investments in sensitive sectors, expressly including the minerals sector. U.S. or EU domicile therefore would not, by itself, remove an investor from the proposed procedure. Inatsisartut, EM2026/214, sections 3 and 4.
That distinction changes the buyer's initial question. An American buyer falls outside Article X's targeted investor group but could still need approval under the domestic bill. The proposed filing requirement and the eventual assessment of security risk are different questions.
Control can sit in a delivery agreement
The bill's equity threshold begins at 25 percent of ownership or voting rights. A separate branch covers controlling influence over managerial, financial, development or operational decisions, including business-critical areas. Staying below the share threshold would not dispose of that separate test. Inatsisartut, EM2026/214, section 3(4).
The explanatory notes, pages 13 and 14, identify long-term or non-terminable loans, leases, operating agreements, delivery agreements and research cooperation as possible routes to control. They also state the limiting principle. The Greenlandic entity must surrender real managerial competence over the relevant matter. A degree of influence is insufficient. Control of one critical operating function can qualify without control of the whole company.
Consider a hypothetical buyer financing a mine through a prepayment and taking future output under an offtake agreement. Ordinary quantity, quality and delivery terms do not establish the required control merely because the contract is valuable. A package that lets the buyer direct a critical production function presents a different question. Counsel should identify the decision transferred, the clause transferring it and the company's remaining discretion before reaching a conclusion. The result would depend on the rights granted and the rules ultimately enacted.
Read the financing and supply terms together
Counsel needs the complete transaction. A purchase agreement may leave management with the producer while a linked financing document or operating annex gives the buyer authority over a critical function. That allocation will not appear in the equity register.
The table applies the proposed control test to a hypothetical mineral supply transaction.
Document
Rights to identify
Question for the approval memo
Loan or prepayment agreement
Decisions reserved to the financier, termination rights and remedies
Does the producer retain real authority over the affected financial or operating decision?
Offtake or delivery agreement
Authority over output, production methods and changes to operations
Does the buyer specify what it purchases or direct a critical project function?
Operating and information-access annexes
Replaceability of the operator, system access and recipients of confidential data
Which rights concern operational control, and which raise Article X's separate information-access question for actors it covers?
An information right needs particular care. Article X names access to certain non-public information. The bill's contractual-control branch instead asks about decision-making power. The two should not be merged into a rule that every data-room invitation is a screened investment. Nor should counsel assume that a confidentiality agreement resolves an access concern under the treaty. The recipient, information and applicable test still matter.
If a proposed condition would require changing the buyer's operating rights, the commercial team needs to know whether the remaining bargain still secures the intended output. That question belongs before approval of the commitment, when the parties can still allocate responsibility for consent and renegotiate the rights that matter.
The transition needs a transaction date
Section 26 proposes July 1, 2027 as commencement and excludes investments completed beforehand. The notes make completion depend on the investment's form. For shares, ownership registration generally determines the date. For contractual control or influence, the relevant point is conclusion of the agreement or commencement of the activity. Later increases through specified ownership thresholds can be covered even where the earlier investment is protected. Inatsisartut, EM2026/214 explanatory notes, pages 38 and 39.
A buyer should therefore record when each material right would arise, rather than attach a single announced project date to the whole arrangement. The final legislation and implementing rules must settle the applicable obligation. The November 10 first reading is the next scheduled parliamentary test of the proposal.
The security agreement has its own commencement condition. Article XII requires a diplomatic note notifying completion of the necessary parliamentary procedures. Greenland's September 22 announcement confirmed those procedures were still needed. No official confirmation of the required note was located in the record reviewed through October 16. The Policy Signal for the signed Greenland agreement provides the underlying text, while Traverse's analysis of critical-minerals agreements and legal status explains why the instruments need separate status checks.
Before approving the supply commitment, counsel should identify any contractual rights that may require permission and assign responsibility for obtaining it. Reopen that assessment if the enacted law changes the control test, the commencement date or the treatment of existing investments.
